Good (and FAST!) software to convert videos: http://www.pocketdivxencoder.net/
Designed specially for portable media players, pocket PCs etc. There's even profiles built in. Just experiment with 320x240 res profiles.
400 mb is way to much, you can use lower bitrate with two-pass encoding. I get 300-400 for a full movie with crystal-clear crispness.
p.s. why would you grab shit from youtube?! it's uber crappy
