Well if you look @ specs, you'll see that all components fits. And they look pretty decent to me, so I would say go for it

looks good.
If you want to save some bucks, consider getting a 5200 instead of 7300.
Overclocks (at least!!) as good, is almost as fast as the e7300 at same clock speed, and you can go for a cheaper ram, because of the high mutiplier/ low default fsb. (200 vs. 333).

vista 32bit has the same memory issue, if you want the best out of your 4gig then try vista x64 or server 2008 x64. The 3 gig issue is generic to 32bit OS' afaik
